DATA FILE LICENSE AGREEMENT

PLEASE READ THIS LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE DOWNLOADING THE HCBD DATA FILE(S).

BY TAKING POSSESSION OF THE DATA FILES(S), I (“LICENSEE”)  AGREE TO THE TERMS AND CONDITIONS OF THIS TERMS OF USE AGREEMENT (INCLUDED BELOW).

TERMS OF USE:

The attached HCBD Data file(s) is licensed to Licensee for business prospecting use only; after which Licensee agrees to destroy all Data/medium. The Data may not be copied, reused, sold or otherwise used by anyone other than Licensee, or for any other purpose. Any such listings, directories, indexes, studies or reports produced are for Licensee internal-use only, and may not be loaned, resold, relayed, copied, forwarded, or redistributed by electronic, print, or by any other method, to any third party. This license is non-transferable. All other uses are prohibited.

HCBD Data are provided on an AS-IS and AS-AVAILABLE basis. Licensee agrees to obtain regular updates of Data from HCBD. This Data may not be used for longer than (3) three months from the date of receipt. HCBD is not responsible for and does not warrant the accuracy or completeness of the Data.

Licensee agrees to properly acquire additional usage license(s) from HCBD for any other uses of this data to include distribution (i.e. mass mailing) purposes. HCBD may include in the Data a combination of seeds or varied names and addresses for purposes of allowing HCBD to determine compliance with this Agreement. HCBD has the right to refuse the license of Data at its discretion.

Licensee agrees to indemnify and hold HCBD, its employees and agents, harmless for any damages or claims arising out of Licensee performance or use of HCBD Data under this Agreement. Licensee shall not use the Data in any way which does not comply with all applicable laws or regulations, or which violates any right of any third party. This Agreement shall be governed by the laws of the District of Columbia without reference to conflict of laws principles.

HCBD reserves the right to make changes to its website policies and these Terms of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining conditions.
